Terms of Service

CARMAboard™ is a venue where members find each other. It is not a party to what they agree.

1. What CARMAboard™ is

CARMAboard™ is a confidential marketplace where members post what they are looking for and what they are offering, and the platform suggests counterparts. Members are anonymous until they choose otherwise.

We are a venue, not a party to your dealings. We are not a broker, dealer, investment adviser, placement agent, employment agency, law firm, or agent of any member. We do not negotiate, advise on, endorse, or take compensation contingent on any transaction that members reach. Any agreement you make with another member is between you and them alone.

2. Eligibility

You must be 18 or over and able to form a binding contract. If you post on behalf of an organization, you confirm you are authorized to bind it.

3. Accounts and verification

You give a real email address and verify it before you can post or start a conversation. You choose a handle, which is what the market sees. You supply your legal name; it is stored separately and is not shown to anyone unless the reveal process in section 6 completes.

You are responsible for your credentials and for activity under your account.

4. What you post

You are solely responsible for the accuracy of everything you post. You must not post anything false, misleading, unlawful, confidential to someone else, or that you have no right to disclose.

No fabricated listings. Posts must describe real intentions.

You keep ownership of what you post. You grant us a limited license to display it in anonymized form to other members and to process it for matching, for as long as the post is active.

5. Matching

Matching is automated and suggestive. It compares the structured criteria both sides select. A match is not a recommendation, an endorsement, a warranty of suitability, or a statement that anyone is creditworthy, solvent, qualified, or honest. You must do your own diligence.

6. Anonymity, approaches and reveals

Contact starts with an approach, which the recipient may accept or decline. Declining is silent — the sender is not told.

Accepted approaches open a sealed room. While a room is sealed, the system rejects messages containing email addresses, phone numbers, links, or references to other messaging platforms. Do not attempt to circumvent this; doing so is a breach of these terms.

Identities are disclosed only when both sides reveal. Where an organization initiated the approach, the organization reveals first. One side revealing alone discloses nothing.

7. Fees

Payments on carmaboard.com are processed by Stripe. Memberships bought in the CARMAboard™ apps for iOS and Android are sold through Apple’s App Store or Google Play, which bill and process them under their own terms, including for renewal, cancellation and refunds. You manage and cancel those memberships in your Apple Account settings or in Google Play under Payments & subscriptions, not through CARMAboard™. Subscriptions renew until cancelled. You may cancel at any time, and access continues to the end of the period you have already paid for. Nothing in these terms limits any cancellation or refund right you have that cannot be excluded by law.

8. CARMA™ Specialist certification

Where we have issued a certification, the badge shown on a member’s card means only that we issued a certification to that account and it has not expired.

It is not a warranty of the specialist’s work, advice, judgement, results, insurance, or fitness for your matter. Certified specialists are independent — not our employees, agents, partners or representatives — and we are not responsible for what they do. Engaging one is entirely your decision and your contract. We may revoke a certification at any time.

9. Acceptable use

Do not: impersonate anyone · post on behalf of a person or organization without authority · attempt to identify anonymous members · scrape or bulk-extract the market · circumvent the sealed-room filter · harass, defraud or mislead · misuse the platform for unlawful purposes.

10. Blocking

You may block companies. We exclude blocked organizations before a card is built for you, in matching both ways, and from reaching you. We do not tell the blocked organization.

11. Suspension and termination

We may suspend or close an account that breaches these terms or creates risk for other members. You may delete your account at any time from inside the app or at carmaboard.com/delete-account.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED ON AN AS IS AND AS AVAILABLE BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARMABOARD™ DISCLAIMS ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY AND NONINFRINGEMENT.

WE DO NOT SCREEN MEMBERS. We do not conduct background checks, identity verification, credential or license verification, reference checks, criminal record checks, sanctions screening, credit checks or financial screening on any member. We make no representation about the identity, age, authority, qualifications, licensure, solvency, honesty or good faith of any member. A handle is a pseudonym and nothing more. A legal name supplied at registration is stored as it was given and is not verified.

We do not warrant that you will find a counterpart, that any match will be suitable, that anything a member states is true, or that the service will be uninterrupted, timely, secure or free of error. Nothing in the service, and nothing conveyed through it, is legal, financial, investment, tax, employment or other professional advice, nor an offer, solicitation, inducement or recommendation by us.

Some jurisdictions do not allow the exclusion of certain warranties. Where that is so, the exclusions above apply to the maximum extent permitted, and nothing in this section excludes a warranty that cannot lawfully be excluded.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARMABOARD™ WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR WITH ANY DEALING BETWEEN MEMBERS, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE OR OTHERWISE, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE SERVICE IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS.

These limitations apply regardless of the form of action and survive any failure of essential purpose of any limited remedy. Nothing in these terms excludes or limits liability for fraud, for fraudulent misrepresentation, for death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

14. Indemnity

You indemnify us against claims arising from what you post, your dealings with other members, and your breach of these terms.

15. Release of CARMAboard™

Members deal with one another entirely at their own risk. You are solely responsible for your own diligence on any counterpart, for the terms of anything you agree with them, for your own compliance with every law that applies to you, and for any tax consequence of your dealings.

We are not a party to any agreement, negotiation, engagement, investment, sale, employment or other arrangement between members. We take no custody of any funds or assets, we execute no transaction between members, and we receive no compensation contingent on any outcome between members.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE CARMABOARD™, DEALDOCTOR® PLLC AND THEIR OFFICERS, MEMBERS, EMPLOYEES AND AGENTS FROM ALL CLAIMS, DEMANDS, DAMAGES AND LIABILITIES OF EVERY KIND, KNOWN AND UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY DISPUTE OR DEALING BETWEEN YOU AND ANOTHER MEMBER.

If you are a California resident you waive California Civil Code section 1542, which reads: a general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.

16. Force majeure

We are not liable for any failure or delay in performance caused by anything beyond our reasonable control, including act of God, natural disaster, epidemic, war, terrorism, civil unrest, labor dispute, act of government, failure of a network, hosting provider, payment processor or other supplier, power failure, denial of service attack, or other malicious act.

17. Changes

We may change these terms and will post the updated version with a new date. Material changes will be notified by email.

18. Governing law and dispute resolution

16.1 Governing law. These terms, and any dispute arising out of or relating to them, to CARMAboard™, or to your use of it, are governed by the laws of the District of Columbia, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.2 Talk to us first. Before starting arbitration or any other proceeding, send us written notice describing the dispute and the outcome you want. The parties will then try in good faith to resolve it for thirty (30) days from that notice. Completing this step is a condition of starting arbitration; it does not stop any limitation period from running.

16.3 Binding arbitration. A dispute not resolved under 16.2 will be finally settled by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules — or, where the person bringing the claim is an individual acting for personal rather than business purposes, its Consumer Arbitration Rules — before a single arbitrator, seated in Washington, District of Columbia, conducted in English. The Federal Arbitration Act governs the interpretation and enforcement of this section. Judgment on the award may be entered by any court of competent jurisdiction. Questions about the scope of this section are for the arbitrator, except that whether 16.5 is enforceable is for a court to decide.

16.4 What is not arbitrated. Either party may still (a) bring a qualifying individual claim in a small claims court, either in the District of Columbia or where the member lives; and (b) ask the courts named in 16.6 for temporary or preliminary relief to stop misuse of intellectual property, breach of confidentiality, or the unauthorised disclosure of another member’s identity. Asking for that relief does not waive anything in this section.

16.5 Claims are brought individually. Neither party may bring a class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate claims or preside over any such proceeding without both parties’ written consent. If this paragraph is held unenforceable as to a particular claim or a particular remedy, that claim or remedy is severed and heard in the courts named in 16.6, and the rest of this section continues to apply to everything else.

16.6 Courts. For any dispute that is not subject to arbitration, and for enforcing an arbitration award, the parties submit to the exclusive jurisdiction of the Superior Court of the District of Columbia and the United States District Court for the District of Columbia. Each party consents to personal jurisdiction there and waives any objection based on venue or inconvenient forum. To the extent permitted by law, each party waives trial by jury in any such proceeding.

16.7 Opting out of arbitration. You may opt out of 16.3 and 16.5 by writing to us with your handle and the words “arbitration opt-out” within thirty (30) days of first accepting these terms. Opting out changes nothing else about your account, and we will not treat it as a reason to act against you. If you opt out, 16.6 governs your disputes.

16.8 Costs of arbitration. The administrator’s fee schedule applies. Where the person bringing the claim is an individual acting for personal rather than business purposes, we will pay the filing, administration and arbitrator fees to the extent they exceed what filing the same claim in court would have cost, unless the arbitrator finds the claim frivolous.

16.9 Members outside the United States. Nothing in this section takes away a protection given to you by the mandatory law of the country you live in that cannot be waived by agreement. In particular, if you are a consumer in the United Kingdom or the European Economic Area, you keep the right to rely on your local law and to bring proceedings in your local courts.

16.10 Survival. This section survives the end of your membership.

YOU AND CARMABOARD™ EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO BRING, JOIN OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOUR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF ON THAT PARTY'S INDIVIDUAL CLAIM. If this waiver is held unenforceable as to any claim, that claim alone is severed from the arbitration and proceeds in court, and the remainder of this section continues to apply.
